Terms of Service

These terms cover your use of this website and how we work together. A signed proposal or statement of work adds the project-specific details, and where the two differ, the signed proposal wins.

Using this website

You may browse this site and send us inquiries for your own business purposes. Please don’t misuse it: no spam, automated scraping, attempts to break security, or content that’s unlawful or infringes someone else’s rights. The studio’s name, wordmark, case studies and site design belong to Northpaw Studio and may not be reused without permission.

Inquiries and discovery calls

Sending an inquiry or booking a discovery call doesn’t create an obligation for either of us. Discovery calls are free, last about 30 minutes, and can be booked from the next business day. If you need to reschedule, just reply to your calendar invite.

Proposals

• Each proposal lists its scope and investment, and is valid for 30 days from the date it’s sent.
• You accept a proposal by typing your name, drawing your signature and confirming you have authority to sign for your company. We treat that as your electronic signature.
• Work outside the signed scope is quoted separately before we start it.

Payment

Unless the proposal says otherwise, 50% of the project fee is due to begin and 50% on delivery. Invoices are due within 15 days. We may pause work on overdue accounts after giving you notice. Fees don’t include taxes, third-party costs such as stock imagery, fonts, printing or hosting, which we’ll approve with you first.

Timelines and revisions

Work starts within two weeks of signature, and each deliverable includes two rounds of revisions. Timelines depend on timely feedback and materials from your team; if feedback is delayed, dates move by the same amount.

Ownership

• When we receive final payment, you own the final approved deliverables, including logos, packaging artwork and website design files created for you.
• Unused concepts, sketches and working files remain ours.
• Third-party assets (fonts, stock imagery, plugins) are licensed to you under their own terms.
• Unless you ask us not to in writing, we may show the finished work in our portfolio and case studies after launch.

Confidentiality

We keep your non-public business information confidential and use it only to deliver your project. We ask the same of you for our pricing and process documents.

Cancellation

Either of us can end a project with 14 days’ written notice. You’ll pay for work completed up to that date, and the deposit covers the first phase of work and isn’t refundable once that phase has begun.

Warranties and liability

We’ll perform the work professionally and with care. The site and our deliverables are otherwise provided “as is.” To the extent the law allows, our total liability for any project is limited to the fees you paid for that project, and neither of us is liable for indirect or consequential losses.

Governing law

These terms are governed by the laws of the State of Texas. Any dispute will be handled in the state or federal courts located in Travis County, Texas, after we’ve both made a good-faith effort to resolve it directly.

Changes

We may update these terms from time to time. Changes apply from the date shown at the top of this page and don’t affect proposals already signed.
